1. Definitions

"SanDiegoTeenTherapists.com” and the “SanDiegoTeenTherapists.com Therapist Directory” is an interactive on-line service operated by SanDiegoTeenTherapists.com, LLC consisting of information services and content provided by SanDiegoTeenTherapists.com, affiliates of SanDiegoTeenTherapists.com and other third parties. "Client" means each person who accesses SanDiegoTeenTherapists.com for access to and use of SanDiegoTeenTherapists.com information OR establishes a connection ("Account") for use of its services.

2. General

(E) SanDiegoTeenTherapists.com does not examine, determine, or warrant the competence of any mental health care provider listed in the SanDiegoTeenTherapists.com Therapist Directory. SanDiegoTeenTherapists.com does not warrant that the mental health care providers listed in the SanDiegoTeenTherapists.com Therapist Directory are currently or properly licensed. Under no circumstances should the SanDiegoTeenTherapists.com Therapist Directory be used to verify the credentials of mental health care providers. Please contact your State Professional Licensing Board to verify the licensure of a provider. Use of the SanDiegoTeenTherapists.com Therapist Directory to locate, contact, or receive services from a mental health care provider is wholly voluntary and will not result in any liability against SanDiegoTeenTherapists.com. In no event shall SanDiegoTeenTherapists.com be liable for damages to any user of the SanDiegoTeenTherapists.com Therapist Directory.

(F) SanDiegoTeenTherapists.com may offer access to free or fee-based “Web Conferences.” “Web Conference” refers to a live or archived audio and/or video presentation available on and accessible from SanDiegoTeenTherapists.com. All Clients who participate in any Web Conference offered by SanDiegoTeenTherapists.com do so on a completely voluntary basis. SanDiegoTeenTherapists.com’s provision of Web Conferences is based solely on SanDiegoTeenTherapists.com’s discretion. Clients must register as a public member in order to gain access to Web Conferences presented by SanDiegoTeenTherapists.com.

It is SanDiegoTeenTherapists.com’s intention to provide access to the Web Conference to all Clients who have registered for said Web Conference. However, due to potential technical complications, presenter schedules and availability, Acts of God, or other unforeseen circumstances, registration for any Web Conference is in no way a guarantee of access or participation in the Web Conference.

By registering for a paid event, Client authorizes SanDiegoTeenTherapists.com to charge your credit card the associated fee for the event. In the event that a scheduled fee-based Web Conference does not occur due to technical complications related to the SanDiegoTeenTherapists.com Web Conference platform SanDiegoTeenTherapists.com will provide a refund of this fee to all registered Clients or will reschedule the event. Clients who are unable to access the Web Conference because of issues related to Client phone, internet or personal computer issues are not eligible for refunds of fee-based Web Conferences. Additionally, refunds are given to Clients who cancel their Web Conference registration at least two weeks prior to the event they registered for. Refunds are not given for purchasing an archived recording nor are refunds given to Clients who are dissatisfied with a live or recorded Web-Conference.

Clients who register for participation in a Web Conference must provide a valid email address. SanDiegoTeenTherapists.com will store all registered Client’s email addresses and manage said email addresses in accordance with SanDiegoTeenTherapists.com’s Privacy Policy. Through registration for access to a Web Conference provided by SanDiegoTeenTherapists.com all Clients agree and understand that SanDiegoTeenTherapists.com may contact said Clients using the email address provided at the time of registration.

Web Conferences available on SanDiegoTeenTherapists.com are provided on an AS-IS basis and are not intended to be, in any way, a substitute for professional advice, diagnosis, medical treatment, or psychotherapy. Always seek the advice of your physician or other qualified mental health provider with any questions you may have regarding any mental health symptom or medical condition. Never disregard professional psychological or medical advice nor delay in seeking professional advice or treatment because of something you have read on SanDiegoTeenTherapists.com. By attending a live Web Conference or viewing or listening to a recorded Web Conference, you signify your assent to the terms and conditions contained in this Agreement.

(G) SanDiegoTeenTherapists.com shall have the right at any time to change or discontinue any aspect or feature of SanDiegoTeenTherapists.com, including, but not limited to, content, hours of availability, and equipment needed for access or use.

(H) Clients who register for SanDiegoTeenTherapists.com Membership and are approved to advertise in the SanDiegoTeenTherapists.com Therapist Directory acknowledge the existence of the Terms of Service, which is applicable to all therapist members, and Clients agree, by virtue of regsitering for SanDiegoTeenTherapists.com membership, which includes a required check-box agreement, to all of the conditions contained in the Terms of Service. This acknowlegement and agremeent does not apply to Clients who are not therapist members of SanDiegoTeenTherapists.com.

(I) This Agreement, which incorporates by reference other provisions applicable to Client's use of SanDiegoTeenTherapists.com, sets forth the terms and conditions that apply to Client's use of SanDiegoTeenTherapists.com. By using SanDiegoTeenTherapists.com, Client agrees to comply with all of the terms and conditions hereof. The right to use SanDiegoTeenTherapists.com is personal to Client and is not transferable to any person or entity.

 

3. Changed Terms

SanDiegoTeenTherapists.com shall have the right at any time to change or modify the terms and conditions applicable to Client's use of SanDiegoTeenTherapists.com, or any part thereof, or to impose new conditions, including, but not limited to, adding or increasing fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon notice, which may be given by any means including, but not limited to, posting on SanDiegoTeenTherapists.com, or by electronic or conventional mail, or by any other means by which Client obtains notice thereof. Any use of SanDiegoTeenTherapists.com by Client after such notice shall be deemed to constitute acceptance by Client of such changes, modifications or additions.

4. Equipment

Client shall be solely responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of SanDiegoTeenTherapists.com and all charges related thereto.

5. Client Conduct

(A) Client shall use SanDiegoTeenTherapists.com for lawful purposes only. Client shall not post or transmit through SanDiegoTeenTherapists.com any material which violates or infringes in anyway upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which contains advertising or any solicitation with respect to products or services.

Any conduct by a Client that in the sole discretion of SanDiegoTeenTherapists.com restricts or inhibits any other Client from using or enjoying SanDiegoTeenTherapists.com will not be permitted. Client shall not use SanDiegoTeenTherapists.com to advertise or perform any commercial solicitation, including, but not limited to, the solicitation of users to become Clients of other on-line information services competitive with SanDiegoTeenTherapists.com.

(B) SanDiegoTeenTherapists.com contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, and sound. The entire contents of SanDiegoTeenTherapists.com are copyrighted as a collective work under United States copyright laws.

SanDiegoTeenTherapists.com owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. Client may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part.

Client may download copyrighted material for Client's personal use only provided that the following notice is included on such materials: "Copyright, SanDiegoTeenTherapists.com. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express written permission of SanDiegoTeenTherapists.com and the copyright owner.

In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. Client acknowledges that it does not acquire any ownership rights by downloading copyrighted material.

(C) Client shall not upload, post or otherwise make available on SanDiegoTeenTherapists.com any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with Client. Client shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission.

By submitting material to any public area of SanDiegoTeenTherapists.com, Client automatically grants, or warrants that the owner of such material has expressly granted SanDiegoTeenTherapists.com the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material.

Client also permits any other Client to access, view, store or reproduce the material for that Client's personal use. Client hereby grants SanDiegoTeenTherapists.com the right to edit, copy, publish and distribute any material made available on SanDiegoTeenTherapists.com by Client.

(D) The foregoing provisions of Section 5 are for the benefit of SanDiegoTeenTherapists.com, its subsidiaries, affiliates and its third party content providers and licensers and each shall have the right to assert and enforce such provisions directly or on its own behalf.

6. Disclaimer of Warranty; Limitation of Liability

(A) CLIENT EXPRESSLY AGREES THAT USE OF SANDIEGOTEENTHERAPISTS.COM IS AT CLIENT'S SOLE RISK. NEITHER SANDIEGOTEENTHERAPISTS.COM, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSERS WARRANT THAT SANDIEGOTEENTHERAPISTS.COM WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF SANDIEGOTEENTHERAPISTS.COM, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH SANDIEGOTEENTHERAPISTS.COM.

(B) SANDIEGOTEENTHERAPISTS.COM IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT.

(C) THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, NEGLIGENCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTUOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION.

CLIENT SPECIFICALLY ACKNOWLEDGES THAT SANDIEGOTEENTHERAPISTS.COM IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER CLIENTS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH CLIENT.

(D) IN NO EVENT WILL SANDIEGOTEENTHERAPISTS.COM, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING SANDIEGOTEENTHERAPISTS.COM OR THE SANDIEGOTEENTHERAPISTS.COM SOFTWARE, BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE SANDIEGOTEENTHERAPISTS.COM. CLIENT HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON SANDIEGOTEENTHERAPISTS.COM.

(E) IN ADDITION TO THE FOREGOING, NEITHER SANDIEGOTEENTHERAPISTS.COM, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN SANDIEGOTEENTHERAPISTS.COM, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASIONED THEREBY. NONE OF THE FOREGOING PARTIES SHALL BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES. NEITHER, SANDIEGOTEENTHERAPISTS.COM, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS WARRANT OR GUARANTEE THE TIMELINESS, SEQUENCE, ACCURACY OR COMPLETENESS OF THIS INFORMATION. ADDITIONALLY, THERE ARE NO WARRANTIES AS TO THE RESULTS OBTAINED FROM THE USE OF THE INFORMATION.

7. Monitoring

SanDiegoTeenTherapists.com shall have the right, but not the obligation, to monitor the content of SanDiegoTeenTherapists.com, including chat rooms, blogs, and forums, to determine compliance with this Agreement and any operating rules established by SanDiegoTeenTherapists.com and to satisfy any law, regulation or authorized government request. SanDiegoTeenTherapists.com shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on SanDiegoTeenTherapists.com. Without limiting the foregoing, SanDiegoTeenTherapists.com shall have the right to remove any material that SanDiegoTeenTherapists.com, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

8. Indemnification

Client agrees to defend, indemnify and hold harmless SanDiegoTeenTherapists.com, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of SanDiegoTeenTherapists.com by Client or Client's Account.

9. Termination

Either SanDiegoTeenTherapists.com or Client may terminate this Agreement at any time. Without limiting the foregoing, SanDiegoTeenTherapists.com shall have the right to immediately terminate Client's Account in the event of any conduct by Client which SanDiegoTeenTherapists.com, in its sole discretion, considers to be unacceptable, or in the event of any breach by Client of this Agreement. The provisions of Sections 5(B), 5(C), 5(D), 6, 8, 10 and this Section 9 shall survive termination of this Agreement.

10. Trademarks

SanDiegoTeenTherapists.com and each of their logos are trademarks of SanDiegoTeenTherapists.com. All rights are reserved. All other trademarks appearing on SanDiegoTeenTherapists.com are the property of their respective owners.

11. Third Party Content

SanDiegoTeenTherapists.com is a licenser or distributor (and not a publisher) of content supplied by third parties and Clients. Accordingly, SanDiegoTeenTherapists.com has no more editorial control over such content than does a public library, bookstore, or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, Clients or any other user of SanDiegoTeenTherapists.com, are those of the respective author(s) or distributor(s) and not of SanDiegoTeenTherapists.com.

Neither SanDiegoTeenTherapists.com nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content, nor its merchant ability or fitness for any particular purpose. It is the responsibility of Client to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through SanDiegoTeenTherapists.com. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific information, opinion, advice or other content.

12. Miscellaneous

This Agreement and any operating rules for SanDiegoTeenTherapists.com constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter.

This Agreement shall be construed in accordance with the laws of the State of California, without regard to its conflict of laws rules. You expressly agree that exclusive jurisdiction for any dispute with SanDiegoTeenTherapists.com, or in any way relating to your use of SanDiegoTeenTherapists.com, resides in the courts of the State of California and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of California in connection with any such dispute including any claim involving SanDiegoTeenTherapists.com or its subsidiaries, employees, contractors, officers, directors, and content providers.

No waiver by either party of any breach or default here under shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
